Luật Doanh nghiệp số 59/2020/QH14 (LDN năm 2020) ra đời đã góp phần hoàn thiện khuôn khổ pháp lý về tổ chức quản trị doanh nghiệp tại Việt Nam cho phù hợp hơn với chuẩn mực của phổ biến ở khu vực và quốc tế. Tuy nhiên, các quy định pháp luật hiện hành về Hội đồng quản trị (HĐQT) trong công ty cổ phần (CTCP) vẫn tồn tại những bất cập, hạn chế nhất định. Bài viết trình bày khái quát một số vấn đề bất cập trong quy định pháp luật về HĐQT trong CTCP theo LDN năm 2020, từ đó đưa ra những kiến nghị hoàn thiện pháp luật để đáp ứng yêu cầu thực tiễn về quản trị công ty tại Việt Nam hiện nay.The introduction of Enterprise Law No. 59/2020/QH14 (“Law on Enterprises 2020”) has contributed to perfecting the legal framework for corporate governance in Vietnam to be more consistent with the standards of good and popular practice regionally and internationally. However, current legal regulations on the Board of Directors in jointstock companies still contain certain shortcomings and limitations. The article briefly presents some legal issues regarding Boards of Directors in jointstock companies under the Enterprise Law 2020, thereby making recommendations to improve the law to meet practical requirements for corporate governance in Vietnam today.
