A limited liability company with two or more members is a common type of enterprise in Vietnam and plays a significant role in the country's economic development. The operation of these companies is greatly influenced by the managers who steer the company throughout its production and business operations. This article analyzes and clarifies the roles and responsibilities of managers in a limited liability company with two or more members according to Vietnamese law. Based on this analysis, some recommendations are proposed to contribute to the improvement of legal provisions regarding the responsibilities of managers in this type of company.Công ty trách nhiệm hữu hạn hai thành viên trở lên là loại hình doanh nghiệp phổ biến tại Việt Nam và đóng vai trò quan trọng trong sự phát triển của nền kinh tế. Hoạt động của loại hình công ty này chịu sự tác động rất lớn của những người quản lý công ty có vai trò “chèo lái" công ty trong suốt quá trình hoạt động sản xuất - kinh doanh. Bài viết phân tích và làm rõ vai trò, trách nhiệm của người quản lý công ty trách nhiệm hữu hạn hai thành viên trở lên theo pháp luật Việt Nam. Trên cơ sở đó, đề xuất một số kiến nghị nhằm góp phần hoàn thiện quy định của pháp luật về trách nhiệm của người quản lý loại hình công ty này.
