Ngày 15/02/2021, quy chế quản trị công ty (QTCT) đại chúng được thực hiện theo hướng dẫn của Thông tư số 116/2020/TT-BTC. So với quy định cũ, hướng dẫn theo Thông tư (TT) số 116/2020/TT-BTC đã bổ sung và thay đổi một số nội dung, trong điều lệ mẫu công ty và quy chế nội bộ. Bên cạnh đó, TT cũng lần đầu tiên ban hành mẫu "Quy chế hoạt động của Hội đồng quản trị (HĐQT), của Ban kiểm soát (BKS) và của Uỷ ban kiểm tra (UBKT). Bài viết chỉ ra những điểm thay đổi trong quy định mới, giúp người đọc nắm bắt nhanh những thay đổi này. Góp phần phổ biến quy chế QTCT mới, đến những người có liên quan đến Công ty đại chúng (CTĐC)., Tóm tắt tiếng anh, From February 15th 2021, the regulation on the corporate governance for public companies is implemented according to the guidance of Circular No. 116/2020/TT-BTC. Compared with the old regulation, the new guidance under Circular No. 116/2020/TT-BTC has added and changed some contents in the model company charter and the model internal regulation. In addition, the Circular also for the first time promulgates the model operation regulation of the Board of Directors, the model operation regulation of the Supervisory Board and the model operation regulation of the Audit Committee for public companies. The article points out the changes in the new regulation to help readers quickly grasp these changes and contribute to the dissemination of the new corporate governance regulation to people involved to public company.
