Criminal liability of legal entities is a well-established concept in the legal systems of many countries worldwide. In Vietnam, the 2015 Penal Code introduced provisions on the criminal liability of commercial legal entities involved in criminal activities. This study examines the legal frameworks governing criminal liability in the United Kingdom, Canada, the United States, and Australia, analyzing their approaches and practices. Drawing from this comparative analysis, the study highlights key insights and lessons that could inform the development and refinement of criminal liability regulations in Vietnam.Trách nhiệm hình sự (TNHS) của pháp nhân hay tổ chức đã được nhiều quốc gia trên thế giới quy định trong hệ thống văn bản quy phạm pháp luật. Trong đó, tại Việt Nam, Quốc hội Nước CHXHCN Việt Nam đã ban hành Bộ luật Hình sự năm 2015 có quy định về TNHS của pháp nhân thương mại phạm tội. Bài viết tập trung nghiên cứu TNHS được quy định trong pháp luật của nước Anh, Canada, Hoa Kỳ, Úc (Australia), từ đó chỉ ra một số kinh nghiệm cho Việt Nam.
