Cổ đông lớn nước ngoài và trình độ học vấn của chủ tịch HĐQT. Sau đó, sử dụng mô hình đánh giá tác động của các yếu tố này tới hiệu quả tài chính của các doanh nghiệp. Nghiên cứu chỉ ra ba đặc điểm quản trị có tác động cùng chiều tới HQTC được xác định theo thị trường (Tobin’Q) đó là quy mô HĐQT, tính độc lập Ban kiểm soát và cổ đông lớn nước ngoài. Hai biến kiểm soát (Covid và đòn bẩy tài chính) cũng có tác động tới HQTC và có ý nghĩa thống kê.This study surveyed the governance characteristics of listed seaport enterprises, including six factors: size of the Board of Directors, number of female members of the Board of Directors, and independence of the Supervisory Board, Foreign Blockholders, and Education Level of the Chairman of the Board of Directors. Then, we use the model to evaluate the impact of these factors on the corporate financial performance. The study shows three governance characteristics that have a positive impact on financial performance determined by the market (Tobin'Q), which are the size of the Board of Directors, the independence of the Supervisory Board, and foreign Blockholders. Two control variables (Covid and financial leverage) also have an impact on financial performance and are statistically significant.
