Enterprise management is the core element of modern corporate system. The management reform of stateowned enterprises (SOEs) in China targets at enhancingthe reform of the SOEs themselves, establishing amodern enterprise system, and transitioning from“enterprise management” to “corporate governance” to accelerate the formation of an effective management mechanism and a flexible market-oriented operating mechanism. This article analyzes the evolution ofChina’s state-owned enterprise management over last 45 years of opening up and reform, thereby proposing implications for Vietnam in the process of reforming the state-owned enterprise management model.Quản trị doanh nghiệp là yếu tố mang tính cốt lõi của hệ thống doanh nghiệp hiện đại. Cải cách quản trị doanh nghiệp nhà nước của Trung Quốc nhằm mục tiêu tăng cường cải cách doanh nghiệp nhà nước, thiết lập một hệ thống doanh nghiệp hiện đại và thực hiện chuyển đổi từ “quản trị doanh nghiệp” sang “quản trị công ty” để đẩy nhanh việc hình thành một cơ chế quản trị hiệu quả và một cơ chế hoạt động linh hoạt theo định hướng thị trường. Bài viết này phân tích diễn biến quá trình cải cách quản trị doanh nghiệp nhà nước Trung Quốc qua 45 năm cải cách và mở cửa, từ đó đề xuất một số giải pháp cho Việt Nam trong quá trình cải cách mô hình quản trị doanh nghiệp nhà nước.
