Germany's 1982 Limited Liability Company Law and the world's first legal document regulating a limited liability company. Limited liability company is a partnership and a joint stock company model. The article approaches the main provisions of German law on the management of limited liability companies. On that basis, a number of experiences can be studied in the process of building and perfecting the law on limited liability companies in Vietnam.
