Vietnam's economy has experienced good signals, however still has to face a number of challenges such as: the increase of public debt, the bad debts of the banking system, the slow process of restructuring state enterprises. These challenges have caused a major impact to the activities and the liquidity of Vietnam's stock market. In such context, it is necessary to encourage foreign enterprises, particularly those in ASEAN to list in Vietnam's stock market for the purpose of diversification of the goods transaction. Currently, Vietnam's legal system has stipulated the regulations of the license, listing condition, the procedure, by which the foreign enterprises have themselves being listed in the stock exchanges such as Hanoi Stock Exchange, Ho Chi Minh Stock Exchange. Nonetheless, in the author's view, there is a number of limitations, in the Vietnam's legal system for foreign enterprises to be listed in the Vietnam's stock market, which requires study, surveys, and comprehensive evaluation. By doing so, the article propose a number of suggestions to perfect Vietnam's legal system for foreign enterprises.
